TERMS & CONDITIONS
1. Introduction
These Terms & Conditions (“Terms”) govern all quotations, sales, deliveries, and supply of products and services by My Plastic Limited (“the Company”, “we”, “our”, or “us”).
By placing an order, accepting a quotation, or purchasing our products, the customer (“Customer” or “you”) agrees to be bound by these Terms in full.
No variation to these Terms shall be binding unless agreed in writing by an authorized representative of the Company.
2. Products & Orders
2.1 All products are manufactured using recycled polypropylene (PP) in accordance with our internal quality and environmental standards.
2.2 Orders may be placed via email, telephone, or through authorized sales representatives.
2.3 All orders are subject to written confirmation by the Company. An order shall only be deemed accepted upon issuance of a formal confirmation or proforma invoice.
2.4 The Company reserves the right to refuse or cancel any order at its discretion prior to dispatch.
2.5 Specifications, dimensions, and product descriptions are provided in good faith. Minor variations that do not affect functionality shall not constitute grounds for rejection.
3. Pricing & Payment
3.1 All prices are quoted in Kenyan Shillings (KES) and are exclusive of VAT and other applicable taxes unless otherwise stated.
3.2 Prices are subject to change without prior notice; however, confirmed orders will be honored at the agreed price.
3.3 Payment terms:
Full payment is required prior to dispatch unless approved credit terms have been granted in writing.
Approved credit customers must adhere strictly to agreed payment timelines.
3.4 Accepted payment methods include bank transfer, M-Pesa, or cheque (subject to clearance).
3.5 Late payments may attract interest at a commercially reasonable rate and may result in suspension of further deliveries.
4. Delivery & Risk Transfer
4.1 Delivery timelines are estimates and will be communicated at order confirmation. While we strive to meet agreed timelines, delays caused by force majeure, supply chain disruptions, transport delays, or events beyond our reasonable control shall not constitute breach of contract.
4.2 Risk in the goods transfers to the Customer upon:
Dispatch from our premises; or
Collection by the Customer or their appointed carrier,
whichever occurs first.
4.3 Ownership (title) of goods remains with the Company until full payment has been received.
5. Returns & Replacement Policy
5.1 Customers must inspect goods upon delivery and notify the Company in writing of any defects, shortages, or damage within seven (7) days of receipt.
5.2 Returns will only be accepted where:
The goods are defective due to manufacturing fault;
The goods are unused and in original packaging;
Written authorization has been issued by the Company.
5.3 Custom-made products, special production batches, or bespoke orders are non-refundable and non-returnable unless a confirmed production defect exists.
5.4 Approved remedies are limited to replacement of goods or refund at the Company’s discretion.
6. Warranty & Limitation of Liability
6.1 The Company warrants that products conform to agreed specifications at the time of delivery.
6.2 Except as expressly stated, no other warranties, express or implied, are provided.
6.3 The Company’s total liability for any claim shall not exceed the value of the goods supplied.
6.4 The Company shall not be liable for indirect, incidental, special, or consequential losses, including but not limited to loss of profit, loss of business, or reputational damage arising from use of the products.
7. Quality Assurance
7.1 All products undergo internal quality control inspections prior to dispatch.
7.2 Customers are responsible for ensuring that products are suitable for their intended use.
7.3 Any technical advice provided is given in good faith but without liability.
8. Data Privacy & Communication
8.1 Customer information is processed in accordance with the Data Protection Act, 2019 of the Republic of Kenya.
8.2 We collect and use personal and business data solely for legitimate business purposes including order processing, invoicing, and communication.
8.3 We do not sell, rent, or disclose customer information to third parties without consent unless required by law.
9. Intellectual Property
9.1 All trademarks, product designs, branding elements, marketing materials, and content associated with My Plastic Limited remain the intellectual property of the Company.
9.2 No reproduction, distribution, or commercial use is permitted without prior written authorization.
10. Governing Law & Dispute Resolution
10.1 These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya.
10.2 Any dispute arising out of or in connection with these Terms shall first be resolved through good faith negotiation.
10.3 Where resolution cannot be reached amicably, disputes shall be subject to the jurisdiction of the courts of Kenya.
11. Amendments
The Company reserves the right to amend or update these Terms & Conditions at any time. The latest version shall be published on our official communication platforms and shall take effect upon publication.
